STANDARD TERMS AND CONDITIONS OF SALE
1. Quotation Scope and Pricing
Pricing is based on the equipment, services, scope, specifications, site conditions, and commercial requirements provided to Northcoast Equipment Specialists, Inc. (“NES”) as of the quotation date. Only items and services specifically identified in this quotation are included. Changes in scope, site conditions, quantities, specifications, scheduling requirements, or other project requirements may result in additional charges.
2. Additional Customer or Contract Terms
Customer purchase orders, subcontracts, construction agreements, bid documents, specifications, or other contractual documents containing terms or requirements not provided to NES prior to quotation are subject to NES review and acceptance. Additional or different terms do not automatically modify this quotation. NES reserves the right to revise pricing, schedule, or scope based on requirements disclosed after quotation.
3. Payment Terms
Payment is due according to the payment terms stated on this quotation or invoice. Balances remaining unpaid more than 30 days after their due date are subject to a finance charge of 1.5% per month, or the maximum amount permitted by law, whichever is less.
4. Ownership of Goods
Title to and ownership of equipment, parts, and related materials supplied by NES shall remain with NES until payment has been received in full for those goods, including applicable taxes, freight, and other charges. Partial or progress payments do not transfer ownership until the balance applicable to those goods has been paid in full. Installation prior to full payment does not waive NES’s rights with respect to unpaid goods.
5. Returns
Electrical items are non-returnable. Approved returns of other items are subject to a minimum 10% restocking fee. Additional manufacturer restocking charges, return freight, or other costs associated with a return may apply where applicable.
6. Lift Installation Exclusions
Unless specifically included in this quotation, lift installation does not include:
- Air or electrical connections
- Permits or governmental fees
- Concrete or structural work
- Removal or disposal of existing equipment
Any work not specifically included in the quoted installation scope will be quoted or billed separately if required.
7. Concrete and Site Conditions
Lift installations require suitable concrete and site conditions meeting the equipment manufacturer’s requirements. Lift anchors generally must maintain required clearances from cracks, saw cuts, expansion joints, spalling, existing anchors, embedded utilities, and other obstructions. Epoxy anchoring, concrete replacement or repair, scanning, engineering, relocation of equipment, or other corrective work required because of site conditions is not included unless specifically quoted and may result in additional charges.
NES is not responsible for determining the structural adequacy of existing floors, foundations, buildings, utilities, or other site conditions unless such services are specifically included in the quotation.
8. Installation Scheduling and Site Readiness
Installation dates are subject to equipment availability, crew availability, and site readiness. Typical lift-installation scheduling is approximately six weeks unless otherwise stated, but schedules may vary.
The customer is responsible for ensuring that the work area is accessible, cleared, and ready for NES upon arrival. Delays, additional mobilizations, return trips, standby time, phased work, or additional labor caused by site conditions, scheduling changes, lack of access, or other trades may result in additional charges.
9. Used Equipment Installation
Installation pricing for used equipment does not include repair or replacement of worn, damaged, incorrect, or missing components unless specifically quoted. Installation of used equipment does not constitute a guarantee that the equipment will operate properly given its pre-existing condition. Required repairs may be quoted separately at NES’s standard parts and labor rates.
10. Freight and Taxes
Freight, delivery, sales tax, use tax, and similar charges are included only when specifically stated in the quotation. Applicable taxes will be charged unless NES receives acceptable documentation supporting an exemption.
11. Changes and Additional Work
Work requested or required outside the quoted scope will be considered additional work and may require a written change order, revised quotation, or additional billing before or during performance.
12. Acceptance
Acceptance of this quotation is limited to the equipment, pricing, scope, and terms stated herein. Any material change to the quoted scope or commercial requirements is subject to NES’s written approval.
